Client Content

When you provide content to us for our services, you grant us a license to use, modify, and display that content solely for the purpose of providing our services. You retain ownership of your content and are responsible for ensuring you have the rights to use it.

Deliverables

Upon full payment, clients receive ownership rights to agreed-upon deliverables as specified in project agreements. IRPR Agency retains the right to use project work in our portfolio and marketing materials unless otherwise agreed in writing.

Payment Terms

• All fees are quoted in the currency specified in project agreements
• Payment terms will be specified in individual service agreements
• Late payments may incur additional fees and interest
• We reserve the right to suspend services for non-payment
• Refund policies are outlined in individual project agreements
• Additional work beyond scope may incur extra charges

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship. This includes business plans, strategies, client lists, and any information marked as confidential. This obligation continues even after the termination of services.

Limitation of Liability

To the maximum extent permitted by law:

• IRPR Agency shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid by you for the specific service in question
• We do not guarantee specific results from our services
• We are not responsible for delays caused by factors outside our control
• Results may vary based on numerous factors beyond our control

Warranties and Disclaimers

We warrant that:

• Services will be performed with professional care and skill
• We have the right to provide the services offered
• We will comply with applicable laws and regulations

EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Termination

Either party may terminate services under the following conditions:

• With written notice as specified in service agreements
• Immediately for breach of these Terms
• For non-payment or violation of agreement terms

Upon termination, you must pay for all services rendered up to the termination date. Certain obligations, including confidentiality and intellectual property terms, survive termination.

Indemnification

You agree to indemnify and hold IRPR Agency harmless from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the laws of India. The arbitration shall take place in Pune, Maharashtra, India.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between you and IRPR Agency regarding your use of our services and supersede all prior agreements and understandings.
